Order Form (Savvi - 14 day free trial)

This Agreement is BETWEEN

‍

1) ACN DIGITAL HOLDINGS LIMITED (T/A BAILY LABS) with company number 526761 whose registered office is at Suite 61, 20 Harcourt Street, Dublin, 2, Ireland (the “Supplier”); and

2) the “Customer"

(each a “Party” and together the “Parties”).

Background

‍

A. The Supplier has developed certain software applications and platforms which it makes available to subscribers via the internet on a subscription basis for the purpose of facilitating electronic payments using a mobile phone, laptop or desktop computer.

B. The Customer wishes to procure the Supplier's software solution for use in its business operations.

C. The Supplier has agreed to provide and the Customer has agreed to take and pay for the Supplier's service all in accordance with this Order Form and the Baily Labs Terms and Conditions.

Initial term

14 days, commencing on the start date (subject to clause 11 of the Baily Labs Terms and Conditions)

Renewal Period

No renewal period, unless otherwise agreed in writing by the Parties.

Fees

No fees.

‍

Billing period

Invoices are issued on a monthly basis.

Payment terms

Not applicable - no fees.

THE SUPPLIER IS WILLING TO PROVIDE THE SERVICES ON THE TERMS AND CONDITIONS SET OUT IN THIS ORDER FORM AND THE BAILY LABS TERMS AND CONDITIONS (“AGREEMENT”). THE PARTIES AGREE THAT THEY WILL BE SUBJECT TO THE TERMS AND CONDITIONS OF THIS AGREEMENT INCLUDING THE LIABILITY PROVISIONS IN CLAUSES 5.3 AND 10.
